Pursuant to § 34 sec. 1 pt. 2, 3 of the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, the Management Board of Comarch S.A. announces that: with the resolution no. 540/2014 dated the 6th of May, 2014, the Management Board of the Warsaw Stock Exchange decided that pursuant to §19, sec. 1 and 2 of the Rules of the Warsaw Stock Exchange 73,953 (in writing: seventy-three thousand nine hundred and fifty-three) ordinary bearer series K3 Comarch S.A. shares of nominal value of PLN 1 (in words: one zloty) each are admitted to trading.

Pursuant to the rule number 1) included in the third part, point 1 of the “Corporate Governance Principles”, Comarch S.A.’s Management Board conveys 2013 activities’ report of Comarch S.A.’s Supervisory Board and assessment of the company’s situation in 2013 including assessment of the company’s internal system control and risk management in the company.

Pursuant to §5 sec. 1 pt. 3 of the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, the Management Board of Comarch S.A. hereby informs that on the 25th of April, 2014, a contract was signed between Comarch Polska S.A., a subsidiary of Comarch S.A. (hereinafter referred to as the “Comarch Polska”) and Comarch S.A.

Pursuant to Article 34 sec. 1 pt. 1 of the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, the Management Board of Comarch S.A. announces that it has received resolution no. 424/14 of the Management Board of the National Deposit for Securities dated the 25th of April, 2014 in relation to the conditional registration of series K3 shares.

Pursuant to Art. 56, sec. 1 of the Act concerning public tenders, the terms for introducing and trading financial instruments on the stock exchange, as well as public companies, the Management Board of Comarch S.A. announces that as of the 8th of April, 2014, Comarch S.A. signed an operating credit agreement with bank Polska Kasa Opieki Spółka Akcyjna (PEKAO S.A.) with its registered office in Warsaw, for financing and refinancing of deliveries related to the contract for delivery and implementation of the system for digital recording of court proceedings in common courts which was concluded between Ministerstwo Sprawiedliwości (Ministry of Justice) and Comarch Polska S.A., a subsidiary of Comarch S.A. (current report no. 6/2014 dated the 21st of March, 2014).

Pursuant to &38 sec. 1 pt. 2) of the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, Comarch S.A.’s Management Board announces that received decision, dated the 31st of March, 2014, concerning registration by the District Court for Kraków-Śródmieście, XI Economic Division of the National Court Register of changes in the company’s Articles of Association.

Pursuant to &5 sec. 1 pt. 9) of the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, Comarch S.A.’s Management Board announced that received notice dated the 31st of March, 2014, concerning registration by the District Court for Kraków-Śródmieście, XI Economic Division of the National Court Register of increase in the company’s share capital to the amount of  PLN 8,125,590.00.

Pursuant to §5 sec. 1 pt. 3 of the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, the Management Board of Comarch S.A. hereby informs that on the 21st of March, 2014, a contract was signed between Comarch Polska S.A., a subsidiary of Comarch (hereinafter referred to as the “Comarch Polska”) and Ministerstwo Sprawiedliwości (Ministry of Justice).
