In consequence of the completion of the subscription for Comarch Software und Beratung AG (“Comarch SuB”) shares carried out between the 18th of August and 31st of August, 2011

In relation to current report no. 26/2009 dated the 16th of November, 2009 relating to the contract with Łęgprzem Sp. z o.o. for the realization of the fourth stage of construction in the investment of the Special Economic Zone in Krakow, updated on the 5th of May, 2010 with current report no. 9/2010 and on the 20th of December, 2010 with current report no. 31/2010, Comarch S.A.’s Management Board announced

The Management Board of Comarch S.A. announces that with resolution no. 1/7/2011, dated the 19th of July, 2011, the Supervisory Board of Comarch S.A. selected Deloitte Audyt Sp. z o. o., with its registered seat in Warsaw at ul. Piękna 18, registered at no. 73 in the list of entities entitled to audit financial statements, to audit and review the financial statements of Comarch S.A.

Management Board of Comarch S.A. reports that accordingly to the list of shareholders participating the Annual General Shareholders Meeting of Comarch S.A. on the 29th of June, 2011, Elżbieta Filipiak, Janusz Filipiak and ARKA BZ WBK FIO SUBFUNDUSZ ARKA BZ WBK AKCJI FIO (Open Investment Fund) held at least 5 % of the total number of votes represented at this Meeting:

Pursuant to § 5 sec. 1 pt 22 of  the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, Comarch S.A.’s Management Board herby reports that

Pursuant to § 5 sec. 1 pt 21 of  the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, Comarch S.A.’s Management Board herby reports that

The Management Board of Comarch S.A. publishes, in the file attached, content of the resolutions passed at the Ordinary Annual General Meeting held on the 29th of June, 2011.

Comarch S.A.’s Management Board informs that on the 8th of June, 2011, an agreement on purchase of Comarch AG shares was signed. It is related to purchase of 1,000,000 Comarch AG shares by Comarch SA from Vintage Investment Holdings S.A. with its registered seat in Luxemburg.
